Clear Guidelines for Generative Assets & Systems

Last updated: 20 May 2026. These terms govern the use of the Clio platform, the LTI Advantage single-sign-on handshake, dynamic slide compilations, and the LearnAdapt CreditGate mechanism.

1. Agreement & Acceptance

Welcome to Clio. By logging into Clio via the LearnAdapt ecosystem, setting custom outlines, uploading reference syllabi, or clicking any dynamic "Make" and "Download" buttons, you explicitly agree to these Terms of Service. These terms form a legally binding agreement between you (as an individual educator or acting on behalf of an authorized institution) and the LearnAdapt Product Ecosystem.

If you do not agree to these terms in their entirety, you must not access the platform or request generative curriculum asset processing. These terms are governed strictly in coordination with parent ecosystem operational manuals.

  • Credit Deductions: All compilation cycles consume LearnAdapt base or institutional tokens via the CreditGate.
  • IP Rights: You retain 100% intellectual property copyright for all custom generated manuals, worksheets, and slide decks.
  • Sandbox Constraints: Code executing in our ephemeral containers has a standard 30-second processing limit.
  • No Malicious Bypasses: Users must not prompt model engines to bypass FERPA safety controls or exhaust compute slots.

Worksheet Generation

Generating standard multi-page LaTeX worksheets or quizzes deducts a baseline of **50 credits** (translating to 500,000 internal tokens) per successful compilation.

Slide & Syllabus Decks

Creating programmatically styled PowerPoint decks or multi-week chronological curricula deducts **100 credits** per request.

Deep Research Books

Triggering long-running asynchronous deep-research textbook compilations deducts **5,000 credits** from the institutional balance.

2. Access and Account Registration

To use Clio, you must authenticate securely through the LearnAdapt single-sign-on (SSO) handshake, LTI 1.3 Advantage integration, or an authorized tenant username. You are solely responsible for maintaining the confidentiality of your session tokens and profile parameters.

School districts deploying Clio are responsible for provisioning proper teacher and administrator roles. Access privileges scale directly in compliance with authorized institutional pilot agreements.

3. LearnAdapt CreditGate Economics

Clio operates on a credit-based utility model managed by the secure CreditGate::deduct() service. Before a compile task executes, our preflight controller estimates the compute token overhead:

  • A single Credit translates to a rate of **10,000 internal tokens**.
  • Standard generations (worksheets, syllabi) run synchronously and deduct credits instantly.
  • Deep generations (full textbooks) queue asynchronously. If a task fails or aborts during preflight planning, pre-authorized credits are returned automatically to the tenant balance.
  • Insufficient credit balances will trigger standard 402 Payment Required blocks, halting compilation until credits are replenished.

4. Sandboxed Code Execution Guidelines

To compile raw markdown into valid PDFs and PowerPoint slides, Clio dynamically generates zero-shot Python scripts (using libraries like reportlab and pptxgenjs) and executes them inside isolated ephemeral Docker containers. Users must agree to the following runtime limits:

All user scripts are subject to a **30-second wall-clock time limit** and a **512MB RAM cap**. Any generation script that attempts to trigger disk loops, network connections from within the sandbox, or system escalations will be terminated instantly by our security agent, and user credits will not be refunded.

5. Output Copyright and User Licensing

Your Copyright: Clio explicitly grants you all copyright and proprietary rights over the generated PDF textbooks, slides, and worksheets. We claim zero royalties, zero license fees, and zero distribution control over your educational outputs.

Your License to Us: You grant Clio and LearnAdapt a limited, worldwide, royalty-free, non-exclusive license to host, parse, cache, and transmit your generated assets solely to provide the services to your designated classroom or institution.

6. Prohibited Activities

Users must not prompt, script, or configure Clio to generate materials that contain hate speech, copyrighted work without license, malware, or highly sensitive personally identifiable information (PII). Attempting to prompt-inject AI cognitive models to bypass standard FERPA/COPPA safety controls will lead to immediate account termination.

7. LTI 1.3 Tenant Governance

Clio connects natively to third-party Learning Management Systems (LMS) like Canvas and Blackboard. Institutions deploying Clio under LTI 1.3 agree to manage student rosters securely and limit student data exchange to authorized gradebook sync contexts.

8. Systems Availability and Warranty Disclaimer

CLIO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES. While our model layers are designed for high-fidelity textbook pacing, we do not warrant that compiled assets will be completely free of factual errors or formatting anomalies. Educators must review all generated slides and textbooks before delivering them to students.

9. Limitation of Liability

IN NO EVENT SHALL THE CLIO OR LEARNADAPT NETWORK BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF SANDBOX FAILURES OR CREDIT DEDUCTION DISPUTES. Our total aggregate liability for any direct claims is strictly capped at the amount paid by the user to Clio in the one (1) month preceding the event.

10. Dispute Resolution & SIAC Coordinates

Any dispute arising out of these terms shall be referred to and finally resolved by arbitration administered by the **Singapore International Arbitration Centre (SIAC)** in accordance with the Arbitration Rules of the SIAC in force at that time. The seat of arbitration shall be Singapore, and the language shall be English.

11. Governing Law

These terms and all related platform transactions are governed by the laws of the Republic of Singapore, without regard to conflict of law principles.

12. Revisions to Terms

We reserve the right to revise these Terms of Service as new AI model layers and sandboxing boundaries emerge. The latest revision will always be accessible on this portal.
